TERMS AND CONDITIONS OF ENGAGEMENT FOR PRO BONO SERVICES

This letter confirms and formally describes the relationship between Prince Lobel Tye LLP (“PLT”) and each person registering on PLT’s Social Equity Assistance webpage for free advice with the online applications for the Massachusetts Cannabis Control Commission’s (the “CCC’s”) Social Equity Program (the “Client”), and sets out  terms and conditions of our obligations to each other with respect to the provision of the Service described below.

• Service:  the ONLY service to be provided by PLT will be telephonic advice with regard to the completion of the CCC’s application for participation in the CCC’s third Social Equity Cohort, scheduled to begin during the summer of 2021 (the “Service”).
• PLT will not seek or be entitled to any payment of any fees or expenses for the Service.
• By accepting these terms you represent that you are not adverse to PLT or any of other clients in any legal matter or conflict.
• If you are adverse to another PLT client, or if you learn that you are now or in the future become adverse to PLT or any of our other clients in any legal matter or conflict, you waive any such conflicts, and agree that PLT may continue to represent its other client(s) against you in any matter to the maximum extent it is ethically permitted to do so.
• You or we may terminate PLT’s provision of the Service to you at any time.  In all events, the lawyer-client relationship created will terminate no later than 30 days after the date on which you accept these Terms and Conditions.
• You have obtained separate counsel with respect to the execution of this letter, if and to the extent that you deem such counsel desirable.

In agreeing to the terms of this letter, you acknowledge that the sale of marijuana, while legal within the Commonwealth of Massachusetts pursuant to regulations promulgated by the Massachusetts Legislature, has not been made legal by the federal government. PLT reserves the right to withdraw from this Engagement in the event that it deems necessary or appropriate as a result of changes in state or federal law or policy.

Client acknowledges that he, she and it has carefully read this Agreement, understands its contents, and agrees to be bound by all of its terms and conditions.  You understand and acknowledge that we cannot make and have not made any guarantees regarding the outcome of any matter, and that the firm has made no representation to Client as to the likelihood of the outcome of the matter for which the firm is representing Client, and that Client believes this Agreement to be fair and reasonable.

Any discussions we have with you regarding our representation of you are limited by our knowledge at the time. You consent to the Firm’s public disclosure of the fact that you are a client of the Firm.

Client acknowledges that this Agreement creates rights and obligations, and that he or she is aware of his or her right to consult with another lawyer in connection with any of the terms of this Agreement prior to signing it.

This Agreement and all disputes or controversies arising out of or relating to this Agreement and PLT’s representation of the Client shall be governed by, and construed in accordance with, the internal laws of the Commonwealth of Massachusetts, without regard to the laws of any other jurisdiction that might be applied because of the conflicts of laws principles of the Commonwealth of Massachusetts. EACH PARTY (A) CONSENTS TO THE PERSONAL JURISDICTION OF THE FEDERAL AND STATE COURTS LOCATED IN THE COMMONWEALTH OF MASSACHUSETTS IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT, and (B) WAIVES ANY VENUE OR INCONVENIENT FORUM DEFENSE TO ANY PROCEEDING MAINTAINED IN SUCH COURTS.
