C. Russel Hansen, Jr.

Mr. Hansen has practiced law for over 40 years as outside and in-house general counsel. He applies his experience and expertise to assist operating businesses, management, boards, board committees, funds and investors from startups to large caps. His work includes formation, financings, corporate law, corporate governance, securities law compliance, strategic partnering, mergers, acquisitions, reorganizations, private equity and venture capital finance, commercial debt and public equity financing, supply chain (export and import ) compliance, investment chain (foreign investment in the United States, sanctions, U.S. overseas investment) compliance and other business transactions.

He is currently a partner at Prince Lobel and was formerly a partner at the boutique firm of Chu, Ring & Hazel, which joined with Prince Lobel in 2020. He began his legal career with 18 years at Wilmer Hale (formerly Hale and Dorr) and was a Corporate Senior Partner. He is a former Vice President and General Counsel of BGS System Inc., a global enterprise software company and PCD Inc., a global electronics component manufacturer, both of which were listed on NASDAQ.

Mr. Hansen has been engaged in corporate governance for over 30 years. He provides corporate governance and board performance consulting, including strategic advice, board self-evaluation facilitation, continuing director education and other board consulting services. He is a co-founder of Board Leaders, LLC (a business organization of directors) and former President of the National Association of Corporate Directors in Washington, D.C. Mr. Hansen also serves as a trustee of multiple family trusts.

He has served as Co-Chair of the Boston Bar Association’s Business Law Section, as a member of the Town of Lincoln Board of Appeals as well as a member of the Boards of the National Association of Corporate Directors, the American Corporate Counsel Foundation, the New England Corporate Counsel Association, the Massachusetts Maritime Academy Foundation, the MBTA Advisory Board and the Criminal Justice Policy Foundation. He is currently Chairman of the Board of Appeals of the Town of Waldoboro, Maine and Chairman of the Board of 2Day4Tomorrow Foundation, Inc., an environmental foundation.

Mr. Hansen is a student of martial and healing arts. With his family, Mr. Hansen manages sustainable forestry on their saltwater tree farm and enjoys sailing and outdoor sports. His wife and older daughter are former executives at financial services firms. His younger daughter is an attorney assisting universities and businesses to create compliant, productive, and equitable environments.
